Terms of Service

These Terms of Service govern your use of gpu.mediastreamai.com and related GPU infrastructure services provided by Media Stream AI Limited.
1. Agreement to Terms
By accessing or using our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use our services.
These terms constitute a legally binding agreement between you (individual or entity) and Media Stream AI Limited, a company registered in the United Kingdom.
2. Services Provided
Media Stream AI Limited provides GPU-as-a-Service infrastructure including:
- NVIDIA H200 SXM GPU clusters (8×80GB HBM3 per node)
- NVIDIA B200 NVL GPU clusters (8×192GB HBM3e per node)
- SambaNova RDU AI accelerator systems
- Associated networking, storage, and management infrastructure
- Technical support and consultation services
Services are delivered from our UK and EU sovereign data centers in Manchester, Liverpool, Durham, Düsseldorf, and Marseille.
3. Eligibility
You must:
- Be at least 18 years old
- Represent a legitimate business or organization
- Have authority to bind your organization to these terms
- Provide accurate and complete information
4. Account Registration & Access
4.1 Account Creation: To use our services, you must create an account providing accurate business information including company name, contact details, and billing information.
4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
4.3 Access Control: You must implement appropriate access controls and not share credentials with unauthorized parties.
5. Acceptable Use Policy
You agree NOT to use our services for:
- ❌ Illegal activities or content that violates UK/EU laws
- ❌ Mining cryptocurrency without prior written approval
- ❌ Malicious software, hacking, or unauthorized access attempts
- ❌ Spam, phishing, or fraudulent activities
- ❌ Content that infringes intellectual property rights
- ❌ Denial-of-service attacks or network disruption
- ❌ Reselling services without authorization
Permitted Uses: AI/ML model training and inference, scientific research, data analytics, rendering, simulation, and other legitimate computational workloads.
6. Payment Terms
6.1 Pricing: Pricing is quoted in GBP (£) and varies based on GPU cluster type, contract term, and usage volume. Current pricing is available at /pricing.
6.2 Billing: Services are billed monthly in advance unless otherwise agreed in your contract. Invoices are due within 14 days of issuance.
6.3 Payment Methods: We accept bank transfer (BACS), credit card, and for enterprise customers, purchase orders with approved credit terms.
6.4 Late Payment: Late payments incur a 2% monthly interest charge and may result in service suspension after 30 days.
6.5 Price Changes: We reserve the right to change pricing with 60 days notice. Existing contracts are honored for their term.
7. Service Level Agreement (SLA)
7.1 Uptime Guarantee: We guarantee 99.9% uptime per calendar month (excluding scheduled maintenance).
7.2 Scheduled Maintenance: We provide 7 days notice for scheduled maintenance, typically performed during off-peak hours.
7.3 Support:
- Standard support: Response within 24 hours (business days)
- Priority support: Response within 4 hours (24/7)
- Emergency support: Response within 1 hour (24/7, enterprise only)
7.4 Service Credits: If uptime falls below 99.9%, you receive service credits proportional to the downtime (10% credit for each 1% below threshold).
8. Data & Intellectual Property
8.1 Your Data: You retain all rights to data you store or process on our infrastructure. We do not claim ownership of your models, datasets, or outputs.
8.2 Data Protection: We process data in accordance with GDPR, UK Data Protection Act 2018, and our Privacy Policy.
8.3 Data Location: All data remains within UK/EU data centers unless you explicitly request otherwise.
8.4 Our IP: Media Stream AI retains all rights to our platform, software, infrastructure, and documentation.
9. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the course of business, including:
- Technical specifications and architecture details
- Pricing and contract terms (unless publicly disclosed)
- Business strategies and roadmaps
- Customer data and usage patterns
This obligation survives termination for 3 years.
10. Limitation of Liability
10.1 Service Limits: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIA STREAM AI'S LIABILITY IS LIMITED TO THE AMOUNT PAID FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.
10.2 Exclusions: We are not liable for indirect, incidental, special, consequential, or punitive damages including lost profits, data loss, or business interruption.
10.3 Exceptions: Nothing in these terms limits liability for death/personal injury, fraud, or other liabilities that cannot be limited under UK law.
10.4 Your Responsibility: You are responsible for maintaining backups and implementing disaster recovery procedures.
11. Termination
11.1 Termination by You: You may terminate with 30 days written notice. Early termination fees apply for contracts with minimum terms.
11.2 Termination by Us: We may terminate immediately if you breach these terms, fail to pay, or engage in prohibited activities.
11.3 Effect of Termination: Upon termination:
- Your access to services will be revoked
- You have 30 days to retrieve your data
- Outstanding fees become immediately due
- We will securely delete your data after 60 days
12. Indemnification
You agree to indemnify and hold Media Stream AI harmless from claims arising from your use of services, violation of these terms, or infringement of third-party rights.
13. Dispute Resolution
13.1 Governing Law: These terms are governed by the laws of England and Wales.
13.2 Jurisdiction: Disputes will be resolved in the courts of England and Wales.
13.3 Mediation: Before litigation, parties agree to attempt good-faith mediation for 30 days.
14. Changes to Terms
We may update these terms with 30 days notice via email or website notification. Continued use after changes constitutes acceptance. Material changes require explicit consent for existing customers.
15. Miscellaneous
Entire Agreement: These terms, along with your service contract and our Privacy Policy, constitute the entire agreement.
Severability: If any provision is unenforceable, the remainder remains in effect.
Waiver: Failure to enforce any right does not constitute a waiver.
Assignment: You may not assign these terms without written consent. We may assign to affiliates or successors.
Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control.
